1.Definitions 1.1 CYBERNET: Cyber Internet Services (Pvt.) Ltd., Karachi, Pakistan. 1.2 User: any natural or legal person of organization whose application to enter into this Agreement is accepted by CYBERNET. 1.3 Service: access to Internet provided by CYBERNET to the User including any value added features introduced from time to time by CYBERNET. 1.4 IDs/Passwords: such secret code(s), which CYBERNET shall issue to the User from time to time for the purpose of using the service provided by CYBERNET. 2.Payment Terms 2.1 The subscription fees usage charges and other fees for the Service will be as stated in CYBERNETs tariff information, which is subject to change from time to time by CYBERNET. 2.2 User agrees to timely pay all charges arising out of the use of any IDs/Password issued under this Service for so long as this agreement remains in force. 2.3 CYBERNET reserves the right to suspend or terminate the services to the user if he/she has arrears in payment of subscriptions and the account is suspended for a period of 30 days. 2.4 The billing cycle will be activated after 14 days of account activation. 2.5 The billing cycle will remains active throughout a calendar month, which means making payments regularly every month into the account in order to keep the user id operational, even if there is no usage for the subsequent month. 2.6 Any payments made to Cyber Internet Services (Pvt) Ltd are nonrefundable nor transferable. 2.7 In case the DSL installation is not possible; CYBERNET will refund the payment to the customer 2.8 Payments will be accepted through credit cards, cash and cheques. In case any cheque is dishonored for any reason, a penalty of Rs.500 would be charged to customer. 3.Term and Termination 3.1 The start dates of service will be the dates that the ID is activated and Billing cycle will start after 14 days from the date of activation. 3.2 This Agreement shall remain in force until terminated according to the terms contained herein. 3.3 The User may terminate the service by giving CYBERNET 30 day prior written notice anytime after the minimum subscription period. 3.4 Should the User be in breach of any of the terms, CYBERNET may terminate this service immediately without any termination damages and without prejudice to CYBERNETs rights to damages for such breach. 3.5 CYBERNET reserves the right at any time and without assigning any reasons to terminate this service. 3.6 If the account is suspended for a period of 30 days, then in that case, the account would be terminated altogether including the mailbox, without any prior notification. 4.Users Responsibilities 4.1 The User shall be responsible with regard to PTCL requirement: 4.1.1. User will authorize to Cybernet to submit LQT & Service Request Forms to PTCL for Cybernet DSL Connection. 4.1.2. User is responsible to abide PTCL/PTA rules/regulations & Policies. 4.1.3. User is hereby undertake that the said DSL connection will not misuse IP connectivity for Voice applications as describe in the Agreement between PTCL and DSL Operators i.e. Passage of illegal traffic means international incoming and outgoing voice/fax by using DSL or any other technology terminating on any type of telephony network, by passing PTCLs International Transit and Local Exchange(s). 4.1.4. User is also hereby undertake that it/they will not indulge or terminate or originate VOIP traffic both national and international. It/They will not use circuit for the following services : 1) Voice service over internet/closed user group, internet telephony/PCO & vice versa VPN and Video Conferencing. 4.1.5. User also undertake that DSL Bandwidth will not be used for Call Centre if it/they require call centre international connectivity it/they will go for IPLC and abide PTCLs Policy in vogue. 4.2 Protect the secrecy of the IDs/Passwords assigned to the User at all times and shall ensure that the same is not revealed or disclosed in any manner whatsoever to any person or persons whosoever. 4.3 Not use the service for any unlawful purposes. 4.4 Ensure that their equipment and software are compatible with CYBERNETs network before connecting to the network. 4.5 Not infringe any copyright or intellectual property rights to the information and resources available via the service 4.6 Not attempt to gain unauthorized access to any computer system connected to the internet. 4.7 Not introduce any computer virus into the Internet or CYBERNET computer systems. 4.8 Not persistently send messages without reasonable cause or for causing any threat, harassment, annoyance, inconvenience or anxiety to any person. 4.9 Not send any message which is offensive on moral, religious, racial or political grounds or of an abusive, indecent, obscene, libelous or menacing nature or may infringe in any statutory regulations and laws. 4.10 Comply with all notices issued by CYBERNET regarding the use of the service. 4.11 Not be entitled to trade on connectivity, resell, hire, transfer, assign or otherwise dispose of the service or any part thereof at any time without the prior written approval of CYBERNET. 4.12 If CPE (Customer Premises Equipment) also called MODEM offered on Free of Cost basis, the same shall be the property of CYBERNET. In case of termination of service, the user is responsible to return the same in good working condition. 4.13 In case the returned CPE is not in working order, the User/Customer is liable to pay the cost of the CPE i.e. Rs.3500/- to CYBERNET. 5.CYBERNETs Rights 5.1 CYBERNET at its exclusive discretion reserves the right to refuse its service to any party without assigning any reason. 5.2 CYBERNET reserves the right to manage and control the access to computer systems and data stored within CYBERNET computer systems in a manner deemed appropriate by CYBERNET. 5.3 CYBERNET at its exclusive discretion reserves the right to refuse, change or remove IDs/Passwords which it deems inappropriate or offensive. 6.Indemnity 6.1 The User undertakes and agrees to indemnify and hold harmless CYBERNET, its Directors and employees at all times against all actions, proceedings, costs, claims, expenses, demands, liabilities, losses and damages whatsoever including without limitation for defamation, infringement of intellectual property rights, death, bodily injury, property damage or pecuniary losses howsoever arising which CYBERNET and its employees or any person may sustain, incur, suffer or pay arising out of or in connection with the sue of the Service by the User or any act or omission of the User thereof. 7.Disclaimer 7.1 While every care is taken by CYBERNET in the provision of the Service, CYBERNET shall not be liable for any loss of information howsoever caused whether as a result of any interruption, suspension or termination of the Service or otherwise for any reason whatsoever, or for the contents, accuracy or quality of information available, received or transmitted through the Service. 7.2 The User shall be solely responsible, and CYBERNET shall not be liable in any manner whatsoever, for ensuring that in using the Service, all applicable laws, rules and regulations and all the terms not limiting to those prescribed by Pakistan Telecommunications Company Ltd and the Pakistan Telecommunications Authority for the use of any telecommunications systems, service or equipment shall be at all times complied with. 7.3 While every care is taken by CYBERNET in the provision of the service, Cybernet shall not be liable for any misuse of account. 8.Assignment 8.1 The Service and the IDs/Passwords issued to the User shall not be assigned to any other party without the prior written consent of CYBERNET. 9.Variations 9.1 CYBERNET at its exclusive discretion shall have the rights to amend the terms and conditions herein at any time upon notice (in such form as may be determined by CYBERNET) to the User. 10.Software 10.1 The User may use in the service the software distributed by CYBERNET in conjunction with other software not owned or distributed by CYBERNET. The use of the Software shall be subject to the terms and conditions stated herein and shall be at the sole risk and responsibility of the User. 10.2 CYBERNET makes no warranty and hereby disclaims all liabilities whatsoever in respect of and/or arising out of Software provided to the User. The User shall have no remedy against CYBERNET for defects in the software. In no event will CYBERNET be liable to the User for any damages whatsoever, including any loss of profits, lost savings or other incidental or consequential damages arising out of the Users use or inability to use the software even if CYBERNET or any of its authorized representative has been advised of the possibility of defects or for any claim by any other party whosoever. 10.3 The User shall satisfy himself/herself as to the suitability of the software to his/her needs. The User shall also be responsible for ensuring the compatibility of the software with his/her equipment. 10.4In the event that changes are introduced to CYBERNET network, CYBERNET shall not be responsible to ensure that the software will continue to be compatible with CYBERNETs Network and the User shall have no claim whatsoever against CYBERNET by reason of such changes. 10.5 The User shall strictly comply and shall ensure compliance by his employees and agents with all instructions or notices in whatever form and through whatever means given by CYBERNET from time to time regarding the use of the software. 11.Access Speed 11.1 CYBERNET does not guarantee any specific response time for any method of access to CYBERNET 12.Force Majeure 12.1 CYBERNET shall not have any liability whatsoever or be deemed to be in default for any delay or failure in performance under this agreement resulting from acts beyond the reasonable control of CYBERNET, including and without limitation to the acts of God, acts or regulations of any governmental or supra-national authority, war or national emergency, accident, fire, lighting, equipment failure, computer software malfunction, electrical power failure, telecommunication line failure, riot, strikes, lock-outs, industrial disputes (whether or not involving CYBERNET employees) or epidemics of infectious diseases. 13.Amendments 13.1 These Terms and Conditions are subject to change by CYBERNET management without prior notice and without assigning any reason thereof. 14.Law 14.1 This agreement shall be governed by and construed in accordance with the laws of Islamic Republic of Pakistan. 15.Notice 15.1Any notice by either party to the other shall be served by sending the same by fax and registered mail or courier service at the address of the party herein above or at any changed address as notified by the respective party to the other and the notice so given shall be deemed to have been properly served and received by the respective party.
